Starrett Company (“Starrett” or the “Company”) (NYSE: SCX) today announced that it has entered into a definitive merger agreement in a go-private transaction with an affiliate of MiddleGround Capital (“MiddleGround”) in an all-cash transaction for $16.19 per share. The purchase price represents an approximately 63% premium to the closing stock price of the Company’s stock on March 8, 2024, the last trading day prior to announcing the transaction.

to the highest standards of quality and workmanship. Starrett employees
are determined to ensure that every tool delivered to the hands of our
customers is reliable and accurate and that the buying experience is
satisfactory. If you receive any tool that is found to be otherwise,
please contact our customer service department to arrange the return of
that tool. Any tool found to be defective in material or workmanship
will at our discretion, be repaired or replaced, no charge.
We cannot replace or issue credit for tools that have been improperly
used, stamped or mutilated. Additionally, we will not warrant tools that
have been altered or repaired by personnel not authorized by The L. S.
Starrett Company. We will be pleased to quote a price to repair such
tools.
FOR ERRORS IN ORDERING: If you make an error in ordering
goods, you may return such goods to Starrett, whereupon Starrett will
provide you with a credit memo provided that (A) the goods to be
returned have not been damaged or used, are otherwise in a resaleable
condition (as determined by us in our sole discretion), are of current
design and finish and are in current production (e.g., were not
custom–made or from a special order), (B) proof of purchase is
established for such returned goods, (C) you have received a
Return Merchandise Authorization from Starrett covering all returned
goods, and (D) such returned goods are shipped properly to
the applicable address within 60 days from the date of
invoice. Upon issuance of the RMA, return instructions will be
provided.
