By using Artistly.ai, you agree to these Terms.

These Terms of Service (“Agreement” or “Terms”) govern your access to and use of the Artistly.ai platform, software, applications,
and related services (collectively, the “Service”), operated by Artistly.ai (“Artistly,” “Company,” “we,” “us,” or “our”).

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement.
If you do not agree, you must immediately discontinue use of the Service.

[H2] 1. Eligibility & Authority

You represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into this Agreement.
If you are using the Service on behalf of an entity, you represent that you are authorized to bind that entity.

[H2] 2. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Accounts are issued to a single user and may not be shared, transferred, sold, sublicensed, or assigned to any third party. Any attempt to do so
may result in immediate suspension or termination without refund.

[H2] 3. License Grant

Subject to your compliance with this Agreement, Artistly grants you a limited, non-exclusive, non-transferable, revocable license to access and use
the Service for lawful purposes in accordance with your purchased plan.

No ownership rights are transferred. All rights not expressly granted are reserved by Artistly.

[H2] 4. Acceptable Use & Prohibited Conduct
You agree not to use the Service to:
Violate any applicable law, regulation, or third-party rights
Infringe copyrights, trademarks, publicity rights, or privacy rights
Generate or distribute deceptive, misleading, or fraudulent content
Circumvent safeguards, usage limits, or technical restrictions
Reverse engineer, scrape, or extract system logic or source code
Overload, disrupt, or impair the Service or its infrastructure
Violation of this section may result in immediate enforcement action, including account termination.

[H2] 5. AI-Generated Content & Likeness Restrictions

Artistly may generate images, designs, or visual content that resemble human figures or identifiable characteristics. To protect licensing, reputational
rights, and lawful use, you agree not to use AI-generated human-like content, without explicit written consent, in connection with:

Political, religious, racial, sexual, or ideological advocacy
Medical, legal, financial, or insurance advice
Regulated or age-restricted products or services
Cryptocurrency, NFTs, or speculative financial instruments
Statements of personal opinion or lived experience attributed to the depicted individual

You may not attempt to register trademarks, service marks, or other proprietary rights derived from AI-generated content that includes human likenesses.

[H2] 6. Content Responsibility & Moderation Rights
You are solely responsible for all content you create, upload, generate, or distribute using the Service.
Artistly does not pre-screen content but reserves the right, at its sole discretion, to remove, block, restrict, or delete content or accounts if:

A complaint or legal notice is received
Intellectual property infringement is alleged
Required by law or governmental authority
Content poses legal, security, reputational, or operational risk
Removal or restriction does not entitle you to compensation or refund.

[H2] 7. Enforcement; Suspension; Termination

Artistly may suspend or permanently terminate your access at any time if it determines that your use violates this Agreement or presents risk to the Service,
other users, or third parties.
Termination shall not relieve you of any payment obligations and shall not entitle you to refunds.

[H2] 8. Fair Use & Resource Limits

Access to the Service is subject to reasonable fair use policies. Artistly reserves the right to impose technical limits on usage, storage, compute resources,
or output generation to preserve platform stability.

[H2] 9. Payments & Billing

All fees are due as stated at the time of purchase and are non-refundable except where required by law. Artistly does not guarantee availability of any specific
feature, output, or result.

[H2] 10. Third-Party Services & Dependencies

The Service may rely on third-party platforms, APIs, models, or infrastructure. Artistly assumes no liability for third-party service changes, pricing updates,
access restrictions, or discontinuation. Your use of third-party services is governed solely by their respective terms.

[H2] 11. Intellectual Property

All intellectual property rights in the Service, including software, branding, algorithms, interfaces, and proprietary systems, are owned by or licensed to Artistly.
You may not copy, modify, distribute, or exploit any part of the Service except as expressly permitted.

[H2] 12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
ACCURACY, AVAILABILITY, OR NON-INFRINGEMENT.

[H2] 13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTISTLY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS,
DATA, BUSINESS OPPORTUNITIES, OR REPUTATION.

[H2] 14. Indemnification

You agree to defend, indemnify, and hold harmless Artistly and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, or
expenses arising from your use of the Service or violation of this Agreement.

[H2] 15. Links to Third-Party Websites

The Service may include links to third-party websites. Artistly does not endorse and is not responsible for the content, policies, or practices of third-party sites.
Accessing third-party sites is at your own risk.

[H2] 16. Term & Termination

This Agreement remains in effect until terminated by either party. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification,
and governing law shall survive termination.

[H2] 17. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Canada, without regard to conflict of law principles. Any dispute shall be brought
exclusively in courts of competent jurisdiction located in Canada.

[H2] 18. Assignment

Artistly may assign or transfer this Agreement at any time without notice, including in connection with a merger, acquisition, restructuring, or sale of assets.

[H2] 19. Severability; Waiver

If any provision is held unenforceable, the remaining provisions shall remain in full force. Failure to enforce any provision shall not constitute a waiver.

[H2] 20. Entire Agreement

This Agreement constitutes the entire agreement between you and Artistly and supersedes all prior agreements or understandings.

[H2] ADDENDUM A: LIFETIME LICENSE TERMS & CONDITIONS (Artistly.ai)

Preamble. This Addendum (“Lifetime License Addendum” or “Lifetime Terms”) governs all purchases designated as “Lifetime Deals,” “LTDs,” or “One-Time Payment” licenses for Artistly.ai (“Product”). These Lifetime Terms supplement and take precedence over any conflicting provisions in the main Terms of Service. All other provisions of the Terms of Service remain in full force and effect.
[H3] 1. Definition of “Lifetime” (Commercial Lifespan)
1.1 Commercial Lifespan. You expressly acknowledge and agree that the term “Lifetime” refers solely to the Commercial Lifespan of the Product. “Commercial Lifespan” means the period during which Artistly.ai, in its sole and absolute discretion, continues to actively operate the Product, provide updates, maintenance, or support, and make the Product commercially available to the general public.
1.2 Explicit Exclusions. “Lifetime” does not mean: (a) the lifetime of the user; (b) the perpetual existence of the Company; (c) an indefinite or guaranteed duration; or (d) guaranteed compatibility with future hardware, software, AI models, operating systems, browsers, or third-party platforms.

[H3] 2. End-of-Life (EOL) Rights
Artistly.ai reserves the unqualified right to discontinue, sunset, or terminate the Product at any time (“End of Life”). If the Product is designated End-of-Life, we will provide at least sixty (60) days’ notice where commercially reasonable. Upon expiration of the notice period, access to the Product will terminate and no refunds, credits, or replacements will be owed.

[H3] 3. Operational Limits & Fair Use
3.1 No Unlimited Consumption. A Lifetime License does not grant unlimited or unrestricted usage. Artistly.ai may impose reasonable and dynamic technical limits, including but not limited to image generations per period, resolution limits, compute usage, storage limits, queue priority, or throttling. These limits may change over time to ensure platform stability and sustainability.
3.2 Economic Viability Clause. If a user’s usage creates a disproportionate financial burden on the Company—defined as usage costs exceeding 500% of the average user cost—Artistly.ai reserves the right to suspend or terminate the Lifetime License unless the user agrees to transition to a paid subscription or overage-based plan.

[H3] 4. Feature Availability & Evolution
Lifetime Licenses apply only to features available at the time of purchase, unless otherwise stated. Artistly.ai does not guarantee that all future features will be included, may introduce premium or subscription-only features, and may modify, replace, or remove existing features. Feature changes do not constitute a breach of the Lifetime License.

[H3] 5. Non-Transferability & No Resale
Lifetime Licenses are personal to the original purchaser and are non-transferable, non-assignable, and non-resellable. Any attempt to sell, share, lease, sublicense, or transfer access—including listing on secondary marketplaces—will result in immediate termination without refund.

[H3] 6. AI Output Limitations
You acknowledge that AI-generated images may not be unique and similar or identical outputs may be generated for other users. No exclusivity or originality is guaranteed. Artistly.ai makes no guarantees regarding copyrightability, trademark eligibility, or non-infringement of AI-generated outputs.

[H3] 7. Third-Party Dependency & No Liability
The Product may rely on third-party technologies, models, APIs, or infrastructure (including cloud providers and AI model vendors). If a third party changes pricing, restricts access, modifies APIs, or discontinues services, Artistly.ai is not obligated to provide refunds, credits, workarounds, or replacements. You accept the risk that third-party changes may render the Product partially or wholly unavailable.

[H3] 8. Suspension & Termination
Artistly.ai may suspend or terminate Lifetime Licenses if the Terms of Service are violated, abuse or misuse is detected, usage threatens platform stability, or legal or regulatory risks arise. Termination does not entitle the user to any refund or compensation.

[H3] 9. Limitation of Liability (The “Cap”)
To the maximum extent permitted by law, Artistly.ai’s total cumulative liability arising out of or related to the Lifetime License shall not exceed the exact amount actually paid by the user for the Product.

[H3] 10. Survival
All provisions relating to limitation of liability, fair use, third-party dependency, non-transferability, and governing law shall survive termination or expiration of the Lifetime License.
